California Community Management Vendor Partner Program Disclosures
As established by your Association’s Community Management Agreement, RowCal’s role is to act as the Association’s agent. The Association acknowledges and consents that the Managing Agent and its affiliates may earn revenue in connection with services to the Association, including without limitation:
- construction or project-management marketing or coordination fees;
- coordination or marketing fees on recurring or one-time property maintenance and improvement services arranged, overseen, or facilitated by the Managing Agent or its affiliates;
- insurance-related commissions or program compensation;
- benefits derived from depository relationships holding Association funds (funds held in the Association’s name and not commingled, per Civ. Code § 5380);
- document, resale, and transfer fees, separately stated per Civ. Code §§ 4525/4528/4530;
- technology, platform, processing, or vendor marketing fees; and
- Marketing fees paid by participating vendors in connection with the Managing Agent’s vendor partner program (the Association remains free to select any vendor).
Further detail regarding the basis or amount of any such revenue is available to an Association’s board upon written request.
Vendor Disclaimer. The Managing Agent and its affiliates may refer, coordinate, or facilitate access to third-party vendors, including through a vendor partner program. Any such vendor is an independent contractor, not an employee, agent, or partner of the Managing Agent. The Managing Agent makes no representation or warranty of any kind — express or implied — regarding any vendor or its services, including as to quality, workmanship, timeliness, pricing, licensing, insurance, or fitness for a particular purpose, and disclaims all liability for the acts, omissions, work product, or performance of any vendor. Each Association is solely responsible for selecting, vetting, contracting with, and supervising its vendors, and remains free to select any vendor of its choosing. Inclusion in or participation in any vendor program does not constitute an endorsement, recommendation, or guarantee.
